Terms ofUse
These Terms govern your access to and use of Pawsworth, including our websites, applications, accounts, care discovery tools, records features, cost tools, and other services.
Please read these Terms carefully.
These Terms contain important provisions concerning disclaimers, limitations of liability, dispute resolution, arbitration, and a waiver of certain rights to participate in class or representative proceedings. UK consumers should also read the protections in Section 29; US arbitration is not mandatory for them.
Agreement between you and PawthosX Labs LLC
These Terms of Use ("Terms") form a legally binding agreement between you and PawthosX Labs LLC, together with its applicable affiliates, successors, and assigns ("Pawsworth," "we," "us," or "our"), regarding your access to and use of Pawsworth.
"Pawsworth" or the "Services" includes our websites, mobile or web applications, accounts, veterinary clinic directory, care discovery tools, scheduling interfaces, cost-comparison tools, estimate features, Bill Check, pet health record features, record-sharing tools, Emergency Access, CareFlex-related features, clinic claim tools, and any other product or service that links to these Terms.
Acceptance of These Terms
By accessing or using the Services, creating an account, clicking a button or checkbox indicating acceptance, submitting information through the Services, or otherwise using a feature that references these Terms, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Services.
If you use the Services on behalf of a company, veterinary clinic, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that circumstance, "you" includes both you individually and the entity you represent.
Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to create a Pawsworth account or use features requiring contractual consent.
You may not use the Services if you are prohibited from doing so under applicable law.
The Services are currently intended primarily for users located in jurisdictions where Pawsworth makes the applicable Services available. Features may differ by location.
Accounts and Account Security
Certain Services require a Pawsworth account. You agree to provide accurate, current, and complete information and to update that information when necessary.
You are responsible for maintaining the confidentiality of your login credentials and for activities that occur through your account to the extent permitted by law.
Do not share passwords or authentication credentials with unauthorized persons.
Use reasonable precautions to protect access to your account and devices.
Notify Pawsworth promptly if you believe your account has been compromised.
Do not create an account using another person's identity without authorization.
We may require additional identity or account verification when reasonably necessary to protect users, veterinary clinics, records, or the integrity of the Services.
What Pawsworth Is — and Is Not
Pawsworth is currently in Open Beta.
Pawsworth is a technology and information platform designed to help users navigate veterinary care.
Depending on the features available in your area, Pawsworth may help you locate veterinary facilities, review clinic information, understand available pricing information, request estimates, organize pet records, share records, schedule care, understand billing information, and access affordability tools.
Pawsworth is not a veterinary practice.
Veterinary clinics, veterinarians, specialists, emergency hospitals, pharmacies, laboratories, insurers, payment providers, and other third parties accessible through Pawsworth are independent from Pawsworth unless expressly stated otherwise.
No Veterinary Advice or Veterinary-Client Relationship
AI-powered tools, including Orville
Orville and other AI-powered features may produce incomplete, inaccurate, or outdated information. Their responses are informational and do not constitute veterinary advice, diagnosis, treatment, or a determination that it is safe to delay care. Do not rely on an AI response to rule out an emergency. Contact a veterinary practice directly for urgent concerns, and check important factual information against the original source or with the practice.
Content provided through Pawsworth is intended for informational, organizational, navigational, or administrative purposes unless expressly identified otherwise.
General information about symptoms, services, veterinary costs, records, medications, procedures, or care options is not a diagnosis and is not a substitute for evaluation by a licensed veterinary professional.
Your use of Pawsworth does not by itself establish a veterinarian-client-patient relationship with Pawsworth, any listed veterinarian, or any veterinary facility.
Decisions concerning diagnosis, treatment, medications, procedures, urgency, prognosis, and medical necessity must be made by an appropriate veterinary professional.
Emergencies and Urgent Veterinary Care
Pawsworth may provide tools to locate urgent-care and emergency veterinary facilities. Those tools are informational and location-oriented.
Do not rely on Pawsworth as an emergency dispatch service.
Facility hours, intake status, staffing, capacity, wait times, services, and emergency capabilities can change quickly. A facility being displayed as "open" does not guarantee that it can accept or appropriately treat your pet at that time.
Pawsworth does not guarantee the accuracy of estimated travel time, distance, route information, open status, intake availability, or emergency capability.
Veterinary Clinic Directory and Listings
Some profiles are assembled automatically from public practice websites using AI-assisted extraction. A listing does not mean the practice participates in Pawsworth or has reviewed or approved that profile. Hours, services, contact details, availability, and prices may change after collection. Confirm them directly with the practice before relying on them. Report inaccurate information through our contact page.
Pawsworth may display information about veterinary clinics, hospitals, mobile providers, specialty facilities, urgent-care providers, emergency facilities, and other veterinary businesses.
Listing information may come from clinics, public sources, licensed data sources, users, integrations, third parties, or Pawsworth's own research and verification processes.
We attempt to provide useful and reasonably current information, but we do not guarantee that every listing is complete, current, or error-free.
Verification
A "verified" or similar designation generally means that Pawsworth has taken steps to verify certain information concerning the clinic or the person managing its listing.
Verification is not an endorsement, certification of clinical quality, guarantee of licensure status, recommendation, or assurance of a particular standard of care.
Search and ordering
Search results may be ordered using factors such as relevance, location, distance, availability, services, user search criteria, data quality, information completeness, care type, and other product factors.
Pawsworth does not currently sell ordinary clinic ranking solely in exchange for higher placement. If we introduce sponsored or paid placement, we intend to identify it as sponsored, promoted, or otherwise distinguish it from ordinary results.
Veterinary Pricing and Cost Comparisons
Pawsworth may display individual prices, price ranges, typical costs, historical pricing, clinic-published pricing, user-reported amounts, market comparisons, or other cost information.
Veterinary pricing varies substantially based on location, patient condition, species, size, age, complexity, clinician judgment, diagnostics, medications, anesthesia, treatment decisions, complications, facility capabilities, and other factors.
Unless expressly stated otherwise, pricing displayed through Pawsworth should be treated as informational context rather than a binding quote.
A displayed range does not guarantee that your pet's care will fall within that range.
A clinic's published price may exclude additional services or clinically necessary treatment.
Historical or reported prices may no longer reflect current clinic pricing.
Prices from different clinics may not represent identical services, protocols, medications, or levels of care.
Estimate Requests and Veterinary Estimates
Pawsworth may allow users to request, receive, store, or review veterinary estimates.
Unless expressly stated otherwise by the veterinary clinic, an estimate is not a guarantee of final price. The actual amount charged may change based on clinical findings, diagnostic results, treatment decisions, additional services, medications, complications, or other circumstances.
Estimates are generally prepared or supplied by the applicable veterinary clinic. Pawsworth is not responsible for the clinical assumptions, completeness, or accuracy of an estimate supplied by a third-party clinic.
Clinics may impose their own expiration dates, deposits, cancellation requirements, treatment-plan requirements, or other conditions.
Check My Vet Bill
Bill Check and similar features may use automated systems to identify, organize, categorize, summarize, explain, or compare information contained in a veterinary invoice.
Automated extraction can be incomplete or inaccurate. You should compare extracted information against the original veterinary invoice.
Bill Check is informational.
A charge appearing above or below an available comparison range does not by itself establish that the charge is unreasonable, incorrect, excessive, or inappropriate.
Questions concerning specific services or charges should generally be directed to the veterinary clinic that provided the care.
Appointments, Scheduling, and Booking
Pawsworth may display appointment availability or allow you to request or book veterinary appointments.
Availability may be provided directly by a veterinary facility, through an integration, or through another third-party system.
An appointment is not confirmed unless the applicable workflow clearly indicates confirmation.
Veterinary clinics may independently establish cancellation policies, deposits, late fees, no-show policies, arrival instructions, patient requirements, and other appointment rules.
Pawsworth is not responsible for a clinic's cancellation, rescheduling, refusal of service, clinical triage decision, or failure to honor an appointment caused by circumstances outside Pawsworth's reasonable control.
CareFlex, Payment Features, and Financial Services
Pawsworth may display, facilitate, or provide access to CareFlex, CareFlex+, installment options, clinic payment programs, payment processing, financing products, or other affordability features.
Availability may depend on the veterinary clinic, transaction, location, applicable law, eligibility criteria, third-party provider, or other conditions.
Separate terms may apply.
Nothing on a general Pawsworth page constitutes an offer of credit or guarantee of approval unless expressly identified as such in the applicable transaction documentation.
Pawsworth does not extend credit or act as a lender unless that role is expressly disclosed to you in the applicable product-specific agreement.
Veterinary clinics remain responsible for determining which payment methods they accept and for the charges associated with veterinary care.

Pet Records and Health Information
Pawsworth may allow you to receive, upload, store, organize, view, import, export, or share veterinary records and other information concerning your pet.
Records may come from multiple veterinary facilities, users, documents, laboratories, integrations, or other sources.
Pawsworth may preserve information about the source of a record so users and veterinary professionals can understand where the information originated.
Record completeness
Pawsworth does not guarantee that your Pawsworth record contains every veterinary visit, diagnosis, medication, vaccine, laboratory result, imaging study, treatment, or document relevant to your pet.
Veterinary facilities may maintain additional information in their own systems that is not available through Pawsworth.
Your authority
By uploading or sharing veterinary records, you represent that you have a lawful right or sufficient authority to provide and share that information.
You may not use Pawsworth to obtain, disclose, alter, or distribute records you are not authorized to access.
Source records
A Pawsworth copy or summary does not necessarily replace the original medical record maintained by a veterinary provider, and veterinary facilities may have independent legal or professional record-retention responsibilities.
Emergency Access and Temporary Record Sharing
Pawsworth Emergency Access may allow an authorized owner or account holder to create temporary, read-only access to a pet's available medical information for another veterinary facility.
36-hour access period
Unless a different period is expressly displayed, Emergency Access lasts for a maximum of 36 hours from creation or until the owner revokes access, whichever occurs first.
Pawsworth may provide a QR code, secure link, temporary access token, or human-readable access code to facilitate access.
Treat Emergency Access codes, links, and QR codes as sensitive information.
Only provide access to people or veterinary facilities you intend to authorize.
Revoke access if a code or link is sent to the wrong recipient or is otherwise compromised.
Do not publicly post an active Emergency Access code or token.
Veterinary professionals receiving Emergency Access should independently verify information as clinically appropriate and should not assume the Pawsworth record is complete.
Pawsworth may maintain security and access logs relating to creation, viewing, expiration, and revocation of Emergency Access sessions.
Clinic Claims and Veterinary Professional Accounts
Pawsworth may allow veterinary clinics or authorized representatives to claim and manage clinic listings.
By claiming a clinic, you represent and warrant that you are authorized to act for that veterinary business and to provide or update information on its behalf.
Pawsworth may require verification through business email, telephone, documentation, account verification, manual review, or other reasonable methods.
Verification of a claimant does not prevent Pawsworth from reviewing, correcting, suspending, or removing clinic-supplied information that we reasonably believe is inaccurate, misleading, unlawful, fraudulent, or inconsistent with these Terms.
Clinic users are responsible for keeping clinic-supplied information reasonably accurate, including hours, contact information, services, pricing, availability, and patient acceptance information.
Claiming a listing does not guarantee any particular ranking, traffic, bookings, revenue, referrals, or patient volume.
User Content and Uploaded Materials
"User Content" means information, documents, records, images, files, text, feedback, clinic data, corrections, or other material you provide through the Services.
As between you and Pawsworth, you retain whatever ownership rights you otherwise have in your User Content.
License needed to operate the Services
You grant Pawsworth a non-exclusive, worldwide, royalty-free license to host, store, copy, process, format, transmit, display, and otherwise use User Content only as reasonably necessary to operate, secure, improve, and provide the Services, fulfill your instructions, comply with law, or exercise rights granted under these Terms.
If you intentionally submit information for public display — such as clinic listing information — this license includes the right to display and distribute that information through the relevant public portions of Pawsworth.
Your responsibilities
You represent that your submission and our authorized use of your User Content will not knowingly violate another person's rights or applicable law.
Do not upload malware, unlawfully obtained records, fraudulent documents, infringing material, or content you have no right to provide.
Acceptable Use
You agree not to misuse Pawsworth or interfere with the operation, security, integrity, or lawful use of the Services.
You may not:
Access accounts, records, systems, APIs, or data without authorization.
Attempt to bypass authentication, security controls, rate limits, or access restrictions.
Use another person's Emergency Access code or medical information without authorization.
Misrepresent your identity, authority, clinic affiliation, or professional credentials.
Create fraudulent clinic claims, appointments, estimates, reviews, records, or submissions.
Upload malicious code, malware, destructive files, or content intended to disrupt the Services.
Use automated scraping, crawling, harvesting, or extraction methods in violation of technical restrictions or applicable law.
Reverse engineer or attempt to derive non-public source code except to the extent such restriction is prohibited by law.
Use the Services to harass, threaten, defraud, impersonate, or unlawfully harm another person.
Use Pawsworth to unlawfully obtain prescription medications or controlled substances.
Resell or commercially exploit non-public Pawsworth data without authorization.
Interfere with another user's access to the Services.
Use the Services in violation of applicable law.
We may investigate suspected misuse and may preserve or disclose information where reasonably necessary to comply with law, enforce these Terms, protect users, protect veterinary clinics, or maintain the security and integrity of the Services.
Third-Party Services and Veterinary Providers
Pawsworth may contain links to, integrations with, or information supplied by third-party veterinary clinics, laboratories, pharmacies, mapping services, payment providers, financing providers, scheduling systems, insurers, record systems, communications providers, or other services.
Third-party services may have their own terms, privacy policies, fees, eligibility requirements, security practices, and operating rules.
Pawsworth is not responsible for the independent acts or omissions of third parties except to the extent required by applicable law.
A link, technical integration, listing, verification indicator, or ability to transact through Pawsworth does not necessarily constitute an endorsement of the third party.
Pawsworth Intellectual Property
The Services, including Pawsworth software, interface designs, databases, graphics, logos, trademarks, service marks, compilation of content, original text, and other proprietary materials, are owned by or licensed to Pawsworth and are protected by applicable intellectual-property laws.
Subject to these Terms, Pawsworth grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.
Except where expressly permitted, you may not copy, license, sell, distribute, modify, create derivative works from, publicly display, or commercially exploit Pawsworth's proprietary materials.
Copyright complaints
If you believe material accessible through Pawsworth infringes your copyright, you may contact us at legal@pawsworth.vet. We may request information reasonably necessary to evaluate and respond to the claim under applicable law.
Feedback
We welcome ideas, suggestions, and feedback about Pawsworth.
If you voluntarily submit feedback, you grant Pawsworth the right to use, modify, develop, commercialize, and incorporate that feedback into our products and services without compensation or obligation to you.
This provision applies to ideas and product feedback, not to veterinary records or other private User Content merely because it is stored through the Services.
Electronic Communications and Records
You agree that Pawsworth may provide agreements, notices, disclosures, confirmations, records, and other communications electronically where permitted by law.
Electronic communications may be delivered through the Services, by email, by text message where appropriate, or through another electronic method associated with your account.
You are responsible for maintaining current contact information and reasonable access to the email address or other communication method associated with your account.
Service-related communications may include security alerts, account notices, appointment information, record-sharing activity, verification messages, estimate updates, and other transactional messages.
Marketing communications are subject to applicable law and any separate consent or preference mechanisms we provide.
Privacy
Our collection, use, storage, and disclosure of personal information is described in our Privacy Policy.
The Privacy Policy is separate from these Terms but is an important part of understanding how the Services operate.
Certain third-party services, veterinary facilities, payment providers, or connected systems may process information under their own privacy policies.
Changes to the Services and Availability
Pawsworth is an evolving platform. We may add, modify, discontinue, replace, restrict, or change features from time to time.
We do not guarantee that every Service will always be available, uninterrupted, error-free, or available in every geographic area.
Scheduled maintenance, third-party outages, internet failures, security events, technical problems, regulatory requirements, or circumstances outside our reasonable control may affect availability.
Where reasonably practical, we may provide notice of material changes affecting paid Services or important account functionality.
Suspension and Termination
You may stop using Pawsworth at any time. Account deletion options may be available through your account settings or by contacting us.
We may suspend or terminate access where reasonably necessary because of:
a material or repeated violation of these Terms;
suspected fraud, unauthorized access, or security abuse;
risk to another user, veterinary clinic, pet record, or system;
a legal or regulatory requirement;
nonpayment of an applicable paid Service;
misrepresentation of clinic ownership or authorization;
conduct reasonably likely to cause material harm to Pawsworth or others.
Where appropriate and legally permitted, we may provide notice or an opportunity to address the issue before permanent termination.
Termination does not necessarily require deletion of information that Pawsworth is required or permitted to retain for security, fraud prevention, legal compliance, dispute resolution, record integrity, or other legitimate purposes.
Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.
Pawsworth disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade to the extent such warranties may lawfully be disclaimed.
Without limiting the foregoing, Pawsworth does not warrant or guarantee:
that veterinary clinic information will always be complete, accurate, or current;
that a particular clinic will accept your pet or have capacity to provide care;
that displayed pricing will equal the final amount charged;
that an estimate will equal the final cost of treatment;
that medical records available through Pawsworth are complete;
that automated extraction, summarization, categorization, or comparison tools will always be accurate;
that CareFlex or other affordability options will be available or suitable for any particular transaction;
that the Services will be uninterrupted or free from all defects or security threats;
that using Pawsworth will produce a particular medical, financial, scheduling, or business outcome.
Some jurisdictions do not allow certain warranty disclaimers. In those jurisdictions, these disclaimers apply only to the extent permitted by law.
Limitation of Liability
To the maximum extent permitted by applicable law, Pawsworth and its affiliates, officers, directors, employees, contractors, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunity, loss of goodwill, or loss of data arising from or relating to the Services.
To the maximum extent permitted by law, Pawsworth will not be liable for acts, omissions, diagnoses, treatments, medical decisions, fees, scheduling decisions, or other conduct of independent veterinary clinics, veterinarians, laboratories, pharmacies, payment providers, or other third parties.
Except where prohibited by law, Pawsworth's total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:
the amount you paid directly to Pawsworth for the applicable consumer Service during the twelve months immediately preceding the event giving rise to the claim; or
$100.
The limitations in this section do not apply to liability that cannot lawfully be limited or excluded.
Some jurisdictions do not permit exclusion or limitation of certain damages. Where applicable, our liability will be limited to the greatest extent permitted by law.
Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Pawsworth and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, losses, costs, and reasonable legal fees arising from:
your material violation of these Terms;
your unlawful or unauthorized use of the Services;
User Content you submit where you lacked the right to provide it;
your infringement or violation of another person's rights;
fraudulent or unauthorized clinic claims or representations;
your intentional misuse of another person's records or Emergency Access credentials.
This section does not require a consumer to indemnify Pawsworth for Pawsworth's own negligence, unlawful conduct, or other liability where such indemnification would be prohibited by law.
Dispute Resolution, Arbitration, and Class Action Waiver
Please read this section carefully.
28.1 Informal resolution first
Before filing arbitration or a lawsuit, you and Pawsworth agree to make a good-faith effort to resolve the dispute informally.
You may send a written notice of dispute to legal@pawsworth.vet.
The notice should include your name, account email, a description of the dispute, relevant supporting information, and the relief you are requesting.
The parties will have at least 30 days after receipt of a complete notice to attempt informal resolution before either party begins arbitration, unless a shorter period is required to prevent immediate and irreparable harm.
28.2 Agreement to individual arbitration
Except for disputes specifically excluded below, you and Pawsworth agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding individual arbitration.
The arbitration agreement is intended to be governed by the Federal Arbitration Act to the extent applicable.
28.3 Arbitration administrator
Arbitration will be administered by the American Arbitration Association ("AAA") under the applicable Consumer Arbitration Rules then in effect, unless the parties agree to another arbitration provider or procedure.
If AAA is unavailable or unwilling to administer the proceeding, the parties will attempt in good faith to select a substitute arbitration provider. If they cannot agree, a court of competent jurisdiction may appoint an arbitrator as permitted by applicable law.
28.4 Location and format
Consumer arbitration may be conducted remotely, by documents, by telephone or video, or in another reasonably convenient manner permitted by the applicable arbitration rules.
Nothing in these Terms requires an individual consumer to travel to Indiana solely to participate in consumer arbitration where applicable arbitration rules or law provide otherwise.
28.5 Arbitration fees
Filing fees, administrative fees, and arbitrator fees will be allocated as required by the applicable arbitration rules and law.
Pawsworth will not seek to shift its arbitration fees or attorneys' fees to an individual consumer unless the arbitrator determines that such an award is authorized by applicable law or arbitration rules.
28.6 Exceptions
Either party may bring an eligible individual claim in small claims court instead of arbitration.
Either party may also seek temporary or preliminary injunctive relief from a court where necessary to prevent unauthorized system access, misuse of confidential information, intellectual-property infringement, security abuse, or immediate and irreparable harm while the underlying dispute is otherwise resolved as required by this section.
28.7 No class or representative proceedings
To the maximum extent permitted by law, you and Pawsworth agree that claims will be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, coordinated, or representative proceeding.
An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party's individual claim, except where applicable law requires otherwise.
28.8 Jury trial waiver
For disputes required to be arbitrated, you and Pawsworth knowingly waive the right to have those disputes decided by a judge or jury in court.
28.9 Arbitration opt-out
You may opt out of this arbitration agreement by sending written notice to legal@pawsworth.vet within 30 days after the date you first accept these Terms.
Your opt-out notice must include your full name, the email address associated with your Pawsworth account, and a clear statement that you wish to opt out of the arbitration agreement in these Terms.
Opting out of arbitration will not affect the other provisions of these Terms and will not affect your ability to use Pawsworth.
28.10 Severability
If a portion of this arbitration section is found unenforceable, the remaining portion will remain in effect to the extent permitted by law, except that an unenforceable class-action waiver will not be used to authorize class arbitration unless the parties expressly agree to class arbitration.
Governing Law and Court Venue
United Kingdom consumers
If you are a consumer resident in the United Kingdom, mandatory consumer protections under the laws of your home jurisdiction continue to apply. Section 28 does not require you to submit to US arbitration or waive access to your local courts. You may bring proceedings in the courts of the part of the United Kingdom where you live. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability or statutory rights that cannot lawfully be excluded or limited.
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws rules, except to the extent federal law or another applicable law controls.
The arbitration agreement in Section 28 is governed by the Federal Arbitration Act to the extent applicable.
For disputes that are not required to be arbitrated, you and Pawsworth consent to personal jurisdiction and venue in state or federal courts of competent jurisdiction located in Indiana, except where applicable consumer law requires otherwise.
Nothing in these Terms deprives you of non-waivable protections available under the laws of the jurisdiction where you reside.
Changes to These Terms
We may update these Terms from time to time as Pawsworth evolves, laws change, or our products and business practices change.
When we make changes, we will update the effective date and version shown at the top of this page.
If a change materially affects your rights or obligations, we may provide additional notice through your account, email, an in-product message, or another reasonable method.
Where required, we may ask you to affirmatively accept revised Terms before continuing to use certain Services.
Changes will not retroactively alter the resolution of a dispute that arose before the revised Terms became effective where prohibited by law.
General Terms
Entire agreement
These Terms, together with any additional terms, policies, product-specific agreements, or disclosures expressly incorporated by reference, constitute the agreement between you and Pawsworth concerning the Services covered by them.
Order of precedence
If product-specific terms conflict with these general Terms, the product-specific terms control for that particular product or transaction.
Severability
If any provision of these Terms is determined to be invalid or unenforceable, the provision will be enforced to the greatest extent permitted and the remaining provisions will remain in effect.
No waiver
A failure by Pawsworth to enforce a provision does not waive our right to enforce that provision later.
Assignment
You may not assign or transfer these Terms without our prior written consent.
Pawsworth may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, affiliate restructuring, or similar transaction, subject to applicable law.
Headings
Section headings are provided for convenience and do not limit or change the meaning of these Terms.
Survival
Provisions that by their nature should survive termination — including provisions concerning intellectual property, disclaimers, liability, disputes, indemnification, and accrued rights — will survive termination.
No third-party beneficiaries
Except where expressly stated, these Terms do not create enforceable rights for persons or entities that are not parties to them.
Force majeure
Pawsworth will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including major internet failures, natural disasters, acts of government, war, civil unrest, labor disruptions, widespread infrastructure failures, or third-party platform outages, except where applicable law provides otherwise.
